Terms of Service

1. Acceptance of Terms

By accessing or using OwnerLogix, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using OwnerLogix on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.

2. Description of Service

OwnerLogix is a cloud-based project management platform built for owner's representatives. The Service includes dashboards, budget tracking, schedule management, approvals, reports, document management, and collaboration tools.

We may modify, update, or discontinue features of the Service with reasonable notice. We will not remove core functionality without providing an alternative or advance notice.

3. Account Registration

• You must be 18 years or older to use OwnerLogix
• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• One account per person

4. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Upload harmful, abusive, or illegal content
• Attempt to gain unauthorized access to the Service or other accounts
• Scrape, crawl, or data-mine the platform
• Reverse engineer any part of the Service
• Impair the performance or availability of the Service
• Resell, sublicense, or redistribute access to the Service
• Store or transmit malware through the platform

We reserve the right to suspend or terminate accounts that violate these terms.

5. Subscription and Billing

• Subscription plans and pricing are available at ownerlogix.com/pricing
• Free trial available for new accounts
• Subscriptions are billed monthly or annually, in advance
• Failed payments will receive a grace period before service interruption
• Upgrades take effect immediately
• Downgrades take effect at the next billing cycle
• Annual subscriptions are non-refundable
• You can cancel your subscription at any time from Account Settings

6. Intellectual Property

OwnerLogix owns all rights, title, and interest in the Service, including its software, design, logos, and documentation. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription.

Any feedback, suggestions, or ideas you provide about the Service grants OwnerLogix a royalty-free, perpetual, irrevocable license to use and incorporate that feedback.

7. Your Data

You own your data. OwnerLogix does not claim ownership of any content you upload or create on the platform. We obtain a limited license to process, store, and display your data solely to operate and improve the Service.

• We will never sell your data for advertising purposes
• You can export your data at any time
• Data is retained for 90 days after account cancellation, then permanently deleted
• We use industry-standard security measures to protect your data

8. Confidentiality

Both parties agree to protect confidential information received from the other party. Your project data is treated as confidential at all times. OwnerLogix employees access your data only when necessary for support purposes and under strict access controls.

9. Third-Party Services

OwnerLogix may integrate with third-party services for your convenience. These integrations are not an endorsement, and third-party services are subject to their own terms and privacy policies.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

OwnerLogix is a project management tool and is not a substitute for professional construction, legal, or financial advice.

11. Limitation of Liability

To the maximum extent permitted by law, OwnerLogix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

In no event shall OwnerLogix's total liability exceed the greater of (a) the amount you paid to OwnerLogix in the twelve (12) months prior to the claim, or (b) one hundred dollars ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless OwnerLogix and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.

13. Termination

• By you: cancel at any time from Account Settings
• By us: we may terminate or suspend your account for violations of these terms or non-payment
• Your data will be retained for 90 days after termination, then permanently deleted

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

15. Changes to Terms

We will provide at least 14 days notice before making material changes to these Terms, via email and in-app notification. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
